Who we are and what we agree
Daripada is the trade name of Hanif Developments, based in Kuala Lumpur, Malaysia. These terms cover our website and our design, development, integration, hosting, maintenance, and support services.
A project begins when we accept your written approval of a proposal, quotation, or statement of work, or an agreed initial payment, after making the applicable terms available to you. A website enquiry alone does not create a project agreement.
The accepted project document defines the deliverables, fees, payment stages, review periods, and any subscription. Specific terms expressly agreed in that document take priority over these general terms where they differ, subject always to applicable law. Our Refund Policy forms part of the service agreement.
Scope, revisions, and changes
We supply only the work described in the accepted scope. Content creation, extra pages, new functionality, integrations, migration, advertising, ongoing updates, and third-party charges are included only when stated.
Revisions are limited to the rounds and scope agreed for the project. Reversing an approved direction, replacing supplied content, or adding requirements may involve additional fees and a revised schedule. We will obtain written agreement before carrying out chargeable work outside the scope.
Research, discovery, planning, design exploration, setup, development, testing, and project management are substantive work, including when the project has not yet produced a live website.
Your input and approvals
You must provide accurate instructions, authorised account access, lawful content, and timely feedback. You are responsible for having permission to use the materials and personal data you give us. Do not send passwords or sensitive records through an ordinary enquiry form; agree a suitable transfer method with us.
Please nominate a primary contact who can give consolidated feedback and approve work. You must check the content, functionality, pricing, legal statements, and other business information before approving a deliverable.
Written approval or an instruction to launch confirms acceptance of the relevant stage. Silence alone is not approval. If feedback or materials are outstanding for 30 days, we may give seven days’ written notice before archiving the active project and releasing the reserved schedule. Restarting may require a revised timeline and an agreed restart quotation. Archiving does not automatically make unfinished work earned.
Fees and payment
Deposits, instalments, milestones, currency, due dates, taxes, and subscriptions are agreed per project. A payment stage may cover work already performed or an advance for the next stage; the quotation should identify which. Any separate capacity-reservation fee must be expressly identified and accepted before payment.
We may wait for cleared payment before starting a stage, launching the website, or transferring unpaid bespoke deliverables. If an undisputed payment is overdue, we may give written notice and pause the affected work or service until payment is resolved. We will give a reasonable opportunity to export your existing data before a planned hosting suspension, except where urgent security or legal action is necessary.
Raise disputed invoice items promptly and pay the undisputed portion on time. Cancellation does not remove your obligation to pay for authorised work already performed and approved non-cancellable costs. Refunds and cancellation accounting follow the Refund Policy.
Delivery and corrections
Dates are estimates unless the project document expressly makes them binding. Delivery depends on timely input, approvals, payment, and third-party availability. We will communicate material changes. Delays caused by missing client input or changed requirements do not by themselves create a refund entitlement.
Report reproducible defects against the agreed requirements promptly, with enough information for us to investigate. We will address verified in-scope defects within a reasonable time, subject to the agreement and any statutory rights. A new preference, new feature, or change to an approved requirement is a change request.
We do not promise particular search rankings, traffic, leads, revenue, advertising results, or uninterrupted third-party services unless an express written commitment says otherwise.
Ownership and handover
You retain ownership of your existing content, data, branding, and accounts. Subject to the agreed scope and full payment, ownership of the final bespoke deliverables created specifically for you transfers as stated in the project agreement. Drafts and unused concepts remain ours unless separately agreed.
Our pre-existing code, reusable components, tools, methods, and know-how remain ours. Where incorporated into a paid final deliverable, you receive a continuing, non-exclusive licence to use them as part of that deliverable. Open-source software and third-party assets remain subject to their own licences.
Repository access, editable design files, deployment documentation, migration, and training are supplied to the extent stated in the scope. We may withhold unpaid work, but do not claim ownership of your existing data or a domain registered to you. We will seek permission before featuring identifiable client work or confidential information in our portfolio.
Hosting, maintenance, and support
Care subscriptions apply per website unless agreed otherwise. The order must state the billing period, included services, any minimum term, renewal arrangement, cancellation notice, and any backup or recovery provision. A website build does not include unlimited support, redesigns, content updates, or hosting unless stated.
For an automatically renewing plan, cancel by the stated renewal cutoff. If the order gives no cutoff, email us before the next billing period begins. Cancellation stops future renewals; it does not create a change-of-mind refund for a paid service period already begun. Any minimum commitment must have been disclosed and agreed before purchase.
Provider outages, maintenance, security incidents, and changes to external platforms may affect availability. We take reasonable care in providing the services we agree to supply. Additional migration or recovery work may be quoted separately where it falls outside the plan.
Domains and other third parties
Registrars, hosting providers, email platforms, payment services, advertising networks, software licences, and APIs have their own terms, renewal rules, and fees. We will seek approval before incurring additional third-party costs for you. Their refund restrictions apply to recoverable third-party charges as explained in our Refund Policy.
Unless agreed otherwise, domains and client-owned accounts should use your correct registrant and billing details. You must keep renewal instructions and payment methods current. We are not a registrar and do not guarantee that a particular domain remains available before registration is completed.
Confidentiality and personal data
Each party must use the other’s non-public project information only for the agreed work, protect it with reasonable care, and share it only with people who need it and are bound by appropriate obligations. This does not cover information already public, independently developed, or lawfully obtained elsewhere. Legally required disclosure is permitted.
Our Privacy Policy explains how we handle our own website, enquiry, and business-contact data. If we process your customers’ or staff members’ personal data on your instructions, the project may need separate processing, security, retention, and subprocessor terms.
Cancellation and termination
You may request cancellation in writing. We may suspend or end an affected service for unlawful use, a serious security threat, or a material breach. For a remediable breach, we will normally give written notice and at least seven days to remedy it before termination. Immediate action may be necessary for serious misuse or legal compliance.
If we end a project for reasons unrelated to your breach, we will account for the work actually supplied and refund the unearned balance for services we will not supply. For all cancellations, rights to completed work, confidentiality, payment for earned fees, and any non-excludable legal remedies survive.
Responsibility and limits
For business-to-business services, to the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, or loss of anticipated business arising from the service agreement. Our total liability is limited to the fees you paid for the affected project, or, for a recurring service, the fees paid for the affected website’s service during the preceding 12 months.
These limits do not exclude fraud, fraudulent misrepresentation, or liability that cannot lawfully be excluded or limited. Nothing in these terms removes a consumer guarantee, refund, cancellation right, or other remedy that applies by law. Where a provision would be unfair or unenforceable under applicable law, that provision does not apply to that extent.
Law, disputes, and updates
Malaysian law governs these terms. Please contact us first so we can try to resolve a concern. The courts of Malaysia have jurisdiction, without restricting access to a competent tribunal, regulator, payment-dispute process, or any other right that cannot lawfully be excluded.
We may update these terms for future engagements and website use. A later website update does not retrospectively change an accepted project or paid subscription period; material changes to an existing service require appropriate notice and agreement where required. If one provision is unenforceable, the remaining provisions continue to apply where possible.
